1. Acceptance of Terms

By accessing or using our websites at www.3westadvisory.com and www.westvaluationpartners.com (collectively, the "Website") or any services provided through them (together, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please discontinue use immediately.

2. Changes to Terms

We may update these Terms at any time by posting a revised version on the Website. Such changes take effect as of the "Last Updated" date above. Continued use of the Website after that date constitutes acceptance of the revised Terms.

3. Definitions

4. License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Services for your internal business or personal purposes. No other rights are granted.

5. User Obligations & Prohibited Conduct

You agree that you will not, under any circumstances:

6. Intellectual Property

All intellectual property rights in the Website and Services — including design, text, graphics, logos, software, and images — are owned by the Company or its licensors. Nothing in these Terms transfers any ownership or other rights to you, except for the limited license granted in Section 4. Any unauthorized use of our intellectual property is strictly prohibited.

7. Professional Advice & No Reliance

The Content on the Website — including blog posts, articles, analyses, tools, and any other materials — is provided for informational purposes only. It does not constitute professional advice of any kind, including financial, valuation, tax, or legal advice, and should not be relied upon as a substitute for obtaining independent professional advice tailored to your specific circumstances.

No fiduciary relationship, advisory relationship, or professional engagement is created by your use of the Website or by submitting an inquiry through it. Engagement of 3 WEST Advisory's professional services is subject to a separate written agreement.

8. User-Generated Content

Any Content you submit through the Website — including inquiries, feedback, or comments — is licensed to us on a perpetual, royalty-free, worldwide, non-exclusive basis to use, reproduce, modify, publish, and distribute in connection with our business. You represent and warrant that you own or control all rights in any Content you submit and that its submission does not violate any applicable law or third-party rights.

9. Third-Party Links & Services

The Website may contain links to third-party websites or services — including Calendly and LinkedIn — for your convenience. Such links do not imply endorsement, and we are not responsible for their content, privacy practices, or terms of use. You access third-party websites and services at your own risk.

10. Privacy

Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Website, you consent to the collection and use of your information as described in the Privacy Policy.

11. Force Majeure

The Company will not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, cyber-attacks, governmental actions, or failures of telecommunications or internet infrastructure.

12. Modification or Discontinuation of the Website

We reserve the right to modify, suspend, or discontinue all or any part of the Website, Services, blog, or Content at any time and without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

13. Export Controls & Compliance with Laws

You represent and warrant that your use of the Website and Services complies with all applicable laws and regulations in your jurisdiction, including export control and economic sanctions regulations of Canada, the United States, the United Nations, and other relevant authorities. You agree not to use the Website or Services in any jurisdiction where such use is prohibited by law.

14. Disclaimers

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

16. Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Website or Services; (b) your breach of these Terms; or (c) your violation of any applicable law or third-party rights.

17. Termination

We may suspend or terminate your access to the Website or Services at any time, with or without notice, for any reason, including your breach of these Terms. Sections 5, 6, 7, 10, 11, 14, 15, 16, and 19–22 survive any termination of these Terms.

18. Governing Law & Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You irrevocably consent to the exclusive jurisdiction of the courts of British Columbia for any dispute not subject to arbitration under Section 19.

19. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally resolved by binding arbitration under the Commercial Arbitration Act (British Columbia), conducted in Vancouver, British Columbia, in the English language. To the fullest extent permitted by applicable law, you and the Company each waive any right to a jury trial and to bring or participate in any class, consolidated, or representative proceeding.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable. All remaining provisions shall continue in full force and effect.

21. Waiver

No failure or delay by the Company in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy, nor shall any single waiver constitute a continuing waiver of the same or any other right or remedy.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company with respect to your use of the Website and Services, and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral, relating to the same subject matter.
